The United States Securities and Exchange Commission (SEC) has approved the registration document for the proposed business combination of Allwyn Entertainment and Cohn Robbins Holdings Corp. (CRHC). This approval clears the path for the transaction to be put before CRHC stockholders for their consideration.

Allwyn, an international lottery company, urges CRHC stockholders to carefully examine the registration document and all associated materials before casting their ballots.

A special assembly is set for September 7, 2022, where CRHC stockholders will decide on the proposed amalgamation. If given the go-ahead, the unified entity will be traded on the New York Stock Exchange under the fresh ticker symbols “ALWN” for Class B common stock and “ALWN.WS” for warrants.

The CRHC board of directors has endorsed the merger and recommends that shareholders vote accordingly. They view the worldwide lottery sector as an attractive prospect due to its widespread popularity, stability across economic cycles, and expansion possibilities fueled by rising digital engagement.

A significant contender in the worldwide lottery sector (valued at a staggering \$300 billion!), Allwyn manages lotteries throughout Europe. They maintain a substantial footprint in nations such as Austria (their home base!), the Czech Republic, Greece, Cyprus, and Italy, providing both conventional and internet-based lottery options.

Camelot had been overseeing the UK’s National Lottery for nearly thirty years, but a shift has occurred! In the recent bidding competition for the license, the UK Gambling Commission selected Allwyn as their preferred candidate to assume control.
